Business contract terms

General terms of service

1. Identity and scope

Donar is the trading name of a sole proprietorship established at 1 rue de la Montagne, 67130 Wisches, France, SIREN 108 070 475, SIRET 108 070 475 00018, APE code 6201Z — Computer programming activities. Status: individual entrepreneur (entrepreneur individuel, EI) operating under the French micro-entreprise regime. Contact: contact@donar.fr · 03 67 10 39 97.

These terms govern services ordered by any business client, whether an individual or a legal entity, acting for the purposes of their business. They are provided with the quotation and prevail over any client terms not expressly accepted by Donar.

2. Contract documents and order of priority

The contract consists, in descending order of priority, of the specific terms and appendices to the accepted quotation, these general terms, and then the scoping materials approved in writing. In the event of a conflict, the higher-ranking document prevails.

3. Purpose and scope of the services

Donar provides services including business websites, landing pages, redesigns, integrations, optimisation, website launches, managed hosting, maintenance and support. The quotation describes the deliverables, pages, features, content, technologies, options, exclusions, timescales, support and any third-party services.

Anything not included in the quotation is excluded. An estimate, demonstration or mock-up that is not expressly included does not constitute a commitment to deliver it.

4. Quotations and formation of the contract

Unless stated otherwise, a quotation is valid for 30 days. The contract is formed when Donar receives the dated and accepted quotation, acceptance of these terms and the required deposit. An electronic signature, explicit agreement by email or any process that identifies the client's agreement may constitute acceptance.

5. Scoping, content and client cooperation

The client agrees to:

• provide the necessary text, images, logos, access credentials, business information and approvals on time;
• appoint an authorised contact who can consolidate feedback and approve each stage;
• verify the accuracy of contact details, prices, claims, notices and obligations specific to their business;
• hold the necessary rights and permissions for every item of content supplied; and
• disclose any particular regulatory, technical or security constraints before work begins.

6. Changes and out-of-scope work

Each round of feedback included in the quotation is a consolidated list submitted at one time. A correction remedies a departure from the agreed scope; a new page, feature, direction, integration or substantial request is a change to that scope. Every such change is priced and approved before it is carried out.

7. Schedule and delays

The delivery period begins once the contract has been formed and Donar has received the deposit and all necessary materials. A delay in the client's content, access, response or approval postpones the schedule and may require the work to be rescheduled. Intermediate dates are estimates unless expressly agreed otherwise.

8. Prices, VAT and external costs

Prices are stated in euros and are net: VAT is not applicable under Article 293 B of the French General Tax Code. A standard custom domain is included while Donar Maintenance is active. Hosting is a separate service and is free for the first 12 months. Premium domains, licences, sending services, stock imagery and other external costs are included only if specified in the quotation.

9. Payment and late payment

Unless specific terms state otherwise, a 50% deposit is due when the order is placed and the remaining 50% is due before final publication or complete delivery of the materials. Invoices are payable by the due date shown, with no discount for early payment unless otherwise stated.

Any late payment by a business client automatically incurs, from the day after the due date, penalties calculated at the European Central Bank refinancing rate applicable to the relevant half-year, plus 10 percentage points, and in any event no less than three times the French statutory interest rate. A fixed recovery-cost indemnity of €40 is also due, without prejudice to additional compensation supported by evidence.

10. Presentation, acceptance testing and approval

Before launch, the client checks the acceptance version, including its content, contact details, prices, links, display, business-specific obligations and agreed features. Reproducible defects within the agreed scope are corrected. Written approval or a request to launch constitutes acceptance of matters that were apparent on inspection, without prejudice to latent defects.

11. Delivery, access and portability

After payment in full, Donar provides the administrative access or means specified in the quotation. The custom domain is registered and managed by Donar while Donar Maintenance remains active. Without maintenance, the client is responsible for managing and renewing the domain; Donar can provide one-off configuration assistance at €65 per hour. If hosting ends after the 12 free months, Donar provides the available website files and ceases hosting the website.

12. Intellectual property

The client retains the rights to their content and pre-existing materials. Rights in work created by Donar are licensed or assigned as stated in the quotation and take effect after payment in full. If no more specific provision is made, the client receives a non-exclusive, worldwide licence for the statutory term of protection, allowing them to use, host, reproduce and adapt the delivered website for the purposes of their business.

Donar's methods, know-how, tools, generic components, libraries and pre-existing materials remain Donar's property. Third-party components remain subject to their respective licences.

13. Maintenance, hosting, domain and third-party services

Donar Maintenance is optional and is purchased only when expressly included in the quotation. When purchased, it costs €29.99 per month with an initial 12-month commitment starting on the date of public launch, for a total of €359.88. It includes technical maintenance, updates, a standard custom domain managed by Donar and up to one hour of changes per month, which cannot be carried over. Hosting is not included in this maintenance service. Without a maintenance subscription, or for work beyond the included time, services are provided only on request at €65 per hour, after an estimate and approval.

Managed hosting is a separate 12-month subscription. The first term is free from the date of public launch. It includes website hosting, an HTTPS certificate, uptime monitoring, version retention and response to hosting-related incidents. At the end of the free term, the subscription costs €180 per year.

Donar Maintenance, when purchased, and hosting renew automatically and separately for successive 12-month periods unless notice of non-renewal for the relevant service is sent by email to contact@donar.fr no later than 30 days before its expiry date. Donar sends a written reminder before each expiry date and gives at least 60 days' notice of any price change. Any mandatory provisions applicable to consumers remain unaffected.

When maintenance ends, Donar stops providing maintenance, updates, the monthly hour of changes and domain management. A transfer of the domain may be requested before it expires, subject to payment in full and any registrar fees. When hosting ends, Donar provides the available website files and stops hosting the website. The accepted quotation prevails where a project requires specific terms.

14. Maintenance, support and changes

Delivery does not include unlimited maintenance. Defects attributable to Donar are corrected during the support period specified in the quotation. Content updates, new features, changes to third-party services, and incidents caused by the client or an external party are subject to a separate agreement.

When Donar Maintenance is purchased, it includes up to one hour of changes per month, which cannot be carried over, for text, images, contact details, opening hours or prices. Without a subscription, or beyond the included time, work is charged at €65 per hour after an estimate and approval. A new page, new feature or redesign is quoted separately.

15. Technology, security and backups

At the time of delivery, Donar applies technical measures proportionate to the project: HTTPS communications, server-side storage of secrets, input validation, controlled dependencies, limitation of exposed features and security headers where the context allows. No connected system can guarantee absolute invulnerability.

The client protects their credentials, limits the access granted, reports any incident promptly and avoids uncontrolled changes. Ongoing backups, updates and monitoring are provided only when they are included in the quotation or an active plan.

16. Search visibility, performance and results

Donar carries out the optimisation specified in the quotation but does not guarantee any search-engine position, traffic volume, revenue or commercial result. Results depend in particular on the market, content, competitors, search engines and actions taken after delivery.

17. Personal data

Processing related to enquiries and the contractual relationship is described in the privacy policy. For a client website that processes personal data, the client remains the controller for processing related to their business. Where Donar acts as a processor, the necessary instructions, measures and obligations are specified in the quotation or an appropriate addendum.

18. Confidentiality

Each party uses the other party's non-public information solely to perform the contract, protects it with reasonable care and shares it only with those who need to know it, unless disclosure is required by law or agreed in writing.

19. Portfolio reference

After the website has been published, Donar may name the client and present the result in its portfolio without disclosing confidential information. The client may object in writing on legitimate grounds or ask Donar to respect a particular publication date.

20. Suspension, termination and force majeure

In the event of non-payment, unlawful content, a serious security risk or prolonged failure to cooperate, Donar may suspend the work after informing the client where circumstances permit. If a material breach is not remedied within the reasonable period specified in writing, the contract may be terminated. Payment remains due for work carried out and costs incurred.

Neither party is liable for a failure to perform that meets the legal criteria for force majeure. The affected party informs the other and limits the effects of the event as far as possible.

21. Liability

Each party is liable for direct loss caused by its proven breaches. Except in the event of gross negligence, wilful misconduct, personal injury or a contrary mandatory rule, Donar's total liability is limited to the amount paid for the service that gave rise to the loss. Indirect loss, business interruption, loss of opportunity, loss of data or loss of revenue is not recoverable.

22. Complaints and amicable resolution

Any complaint must first be sent to contact@donar.fr, together with the relevant supporting information, so that an amicable solution can be sought between the business parties.

23. Governing law and disputes

The contract is governed by French law. If no amicable agreement is reached, the dispute falls within the jurisdiction of the competent courts under the applicable rules of procedure. Nothing in these terms deprives either party of any mandatory rule from which it benefits.

24. Final provisions

If one provision is invalid, the remaining provisions are unaffected. A failure to exercise a right immediately does not constitute a waiver. Any amendment to the contract must be agreed in writing.
